Alec J. Jarvis advises clients on a broad range of U.S. and international tax matters, including public and private mergers, acquisitions and divestitures, including spin-offs, joint ventures and internal restructurings.

Mr. Jarvis has advised:

  • Pfizer Inc. in connection with its proposed combination with Allergan plc, its proposed acquisition of AstraZeneca PLC through a newly formed U.K. holding company and the spin-off of its animal health business into a separate publicly traded company;
  • Sprint Nextel Corporation in its $21.6 billion sale to SoftBank Corporation (recognized as the Global M&A Deal of the Year: Grand Prize by The American Lawyer) and its $2.2 billion acquisition of the remaining 50 percent stake in Clearwire Corporation that it did not already own. Both transactions were recognized in the Corporate & Commercial category in the Financial Times’ 2013 U.S. “Innovative Lawyers” report;
  • Baxter International Inc. in connection with Baxalta Incorporated’s $32 billion combination with Shire plc;
  • Air Products and Chemicals, Inc. in its sale of the performance materials division of its materials technologies segment to Evonik Industries AG for $3.8 billion in cash;
  • Hawaiian Electric Industries, Inc. in its pending $4.3 billion acquisition by NextEra Energy, Inc. and the pending spin-off, in connection with the transaction, of ASB Hawaii, Inc., the parent company of American Savings Bank, F.S.B., into a separate, publicly traded company;
  • Capgemini S.A. in its $4 billion acquisition of iGate Corporation;
  • The PGA TOUR in the merger of one of its affiliates with an affiliate of EZLinks Golf to create EZLinks Golf LLC, a leading online tee time reservation business;
  • Sensata Technologies Holding N.V. in the $1 billion acquisition by its wholly owned indirect subsidiary Sensata Technologies B.V. of the Schrader group of companies from Madison Dearborn Partners, LLC; and
  • Hillshire Brands Company (formerly Sara Lee Corporation) in connection with the $11 billion spin-off and redomiciliation in the Netherlands of its international coffee and tea business.

In addition, Mr. Jarvis has advised on equity and debt offerings and has counseled on the formation and operation of joint ventures and real estate investment trusts.
