Bio

Gurjot Kaur advises financial sponsors, public and private acquirers, target companies and investment banks on a variety of U.S. and cross-border corporate matters. She counsels on mergers, acquisitions, carve-outs, spin-offs, financial advisor engagements and other corporate representations, including corporate governance, private equity and securities law matters.

Ms. Kaur has experience representing clients in a variety of industries in a wide range of transactions, including:

  • BlackRock in its $12.5 billion acquisition of Global Infrastructure Partners
  • Duck Creek Technologies in its $2.6 billion acquisition by funds managed by Vista Equity Partners
  • Dell Technologies, Inc. in its $4 billion sale of Boomi to Francisco Partners and TPG
  • WeWork Inc. in its $9 billion de-SPAC business combination with BowX Acquisition Corp.
  • Rithm Capital Corp. in its $720 million acquisition of Sculptor Capital Management, Inc., a publicly listed global alternative asset manager with $34 billion in assets under management
  • American Financial Group in its $210 million acquisition of Crop Risk Services from American International Group
  • Reinvent Technology Partners Y in its $11 billion merger with self-driving vehicle company Aurora
  • Reinvent Technology Partners in its $6.6 billion merger with all-electric aircraft company Joby Aviation
  • Tula Life, Inc., an L Catterton-backed skin care company, in its acquisition by Procter & Gamble

Ms. Kaur also counsels investment banking clients on transactional and financial advisory matters, including Centerview Partners, Goldman Sachs and Morgan Stanley as financial advisors in numerous transactions.

Ms. Kaur serves on the Steering Committee for Skadden’s New York South Asian Lawyer affinity network and the firm’s Recruiting Committee. She has an active pro bono practice, which has included advising early-stage nonprofits and clients seeking asylum in the U.S.
