Dr. Bernd R. Mayer leads Skadden’s German offices, serves as the head of the firm’s German corporate governance practice and serves on Skadden’s Policy Committee. He has substantial experience in advising and assisting management and supervisory boards in corporate governance, internal investigations and regulatory matters.


Mr. Mayer has handled accounting and tax fraud matters for financial institutions, advised on the implementation of corporate compliance programs, provided training of management and employees, conducted internal investigations and provided related corporate governance advice.

As a member of the firm’s corporate investigations practice, Dr. Mayer has assisted clients with investigations in, among others, Germany, Poland, Russia, Egypt, Lebanon and Saudi Arabia. He is familiar with best practices relating to forensic investigations. Dr. Mayer had a leading role on the team advising Daimler AG regarding SEC/DOJ investigations into the infringement of the Foreign Corrupt Practices Act.

His vast experience in public and private M&A includes numerous multijurisdictional compliance due diligences in various industries, and his corporate governance work has translated into successful, complex M&A and joint venture agreements.

Representative clients, deals and matters include advising:

  • Arcelor SA in its defence against an unsolicited US$22.8 billion bid from Mittal Steel NV;
  • Daimler AG in its sale of Chrysler LLC to Cerberus, the transaction volume of which was US$62 billion; in its acquisition of 10 percent of the share capital of Kamaz Incorporated; (as U.S. counsel) in its €1.95 billion sale of a 9.1 percent stake to Aabar Investments PJSC; and in the disposal of its interest in Hyundai Motor Company; and
  • SCOR S.A. in connection with the €630 million acquisition of Revios Rückversicherungsgesellschaft.

Dr. Mayer is listed as one of Germany’s top 16 senior partners in corporate law by JUVE Wirtschaftskanzleien and as a “leading individual” by Chambers Global and Chambers Europe. He also is recognised as being among the world’s leading investigations lawyers in Who’s Who Legal: Investigations and in Global Investigations Review’s GIR 30.
