David H. Midvidy

David H. Midvidy has represented issuers, underwriters, banks and international and U.S. financial institutions in a variety of public and private structured finance transactions.

Bio

Mr. Midvidy has acted as lead counsel in numerous whole business and other operating asset securitizations, including financings for restaurant franchisors and wholesale distribution companies. He has also advised financial institutions structuring tax equity investments in levered (securitized) and unlevered pools of residential and commercial solar power facilities.

Mr. Midvidy has acted as counsel in transactions involving the issuance of asset-backed notes and trust certificates, bonds and preferred stock. He also has advised clients on the establishment and organization of business trusts and limited liability companies utilized in structured finance transactions. Mr. Midvidy has substantial experience with titling trusts and other titling entities and has acted as counsel to originators of lease contracts for motor vehicles and other types of titled equipment in transactions including synthetic leases, leveraged leases, TRAC leases, like-kind exchange programs, and public and private capital markets transactions. He led the team at Skadden that developed the exchange note structure used in automobile lease securitizations.

Mr. Midvidy’s structured finance experience also includes transactions involving the issuance of securities backed by retail automotive installment sale contracts, solar power purchase agreements, pharmaceutical royalties, commercial loans (including collateralized loan obligations backed by distressed commercial loans and notes backed by performing commercial loans), credit card receivables, equipment leases, high-yield debt obligations, marine installment sale contracts, recreational vehicle installment sale contracts and trade receivables.
