Bio

With a deep understanding of the SEC’s decision-making processes, Mr. Mulligan helps clients manage regulatory risk throughout a fund’s life cycle — from fund formation onward. He regularly advises investment adviser and private fund clients on SEC examinations and investigations, marketing rule compliance, fund formation issues and mock examinations, as well as issues pertaining to SEC registrations, Form ADV, Form PF, codes of ethics, custody issues, layered process audit compliance and annual reviews.

Prior to joining Skadden, Mr. Mulligan’s representations included advising Altamont, Altimeter, American Securities, Andreessen Horowitz, Apollo, Brookfield, Carrhae Capital, CVC, DigitalBridge, Genstar, GrowthCurve, Lightspeed, Neos Partners, Odyssey, Point72, Providence, PTMA, TPG and Viking Global.

During his tenure at the SEC, Mr. Mulligan most recently served as investment adviser/private funds senior advisor and co-coordinator of the Private Funds Specialized Working Group, where he led the agency’s efforts to train staff and implement new Investment Advisers Act rules, including the New Marketing Rule, during examinations. He also served as the primary investment adviser and private funds legal point of contact for SEC examiners, counseling exam staff on hundreds of investment adviser examinations per year. Additionally, Mr. Mulligan drafted numerous Risk Alerts, developed significant rulemakings (including Form PF and Form ADV amendments) and guidance impacting investment advisers, counseled staff on enforcement referrals and crafted national exam initiatives and priorities related to private fund advisers.

In recognition of his work, Mr. Mulligan has been named a leading lawyer for Investment Funds: Regulatory & Compliance by Chambers USA and Chambers Global, in which a client commentator noted he is “smart, well-connected, practical, decisive and able to breakdown complex concepts easily.” He has also been recommended for his work in Investment Fund Formation and Management: Private Equity Funds (Including Venture Capital) by The Legal 500 U.S.

Mr. Mulligan regularly speaks about private fund adviser regulation at industry events and on podcasts. He is also a member of the National Society of Compliance Professionals Regulatory Advisory Committee.
