Bio

Lea Nehmeh counsels public and private clients, financial institutions, private equity sponsors, portfolio companies and special committees on a variety of U.S. and cross-border corporate matters. Ms. Nehmeh has represented a diverse range of clients in a variety of industries in mergers, acquisitions, dispositions, auctions, carve-outs, leveraged buyouts, strategic investments, restructurings and other corporate and commercial transactions.

Selected representations include:

  • A. Schulman, Inc. in its acquisition by LyondellBasell N.V.
  • Affiliates of GE Energy Financial Services, Inc. in the sale of equity interests in a portfolio of tax equity investments in a number of wind projects across the U.S.
  • Brookfield Reinsurance Ltd. in its acquisition of American National Group, Inc.
  • CPI International, Inc. in its acquisition of L3 ESSCO, Inc. from an affiliate of L3Harris Technologies, Inc.
  • Criteo Corp. in its acquisition of Gradient Technologies, Inc. 
  • Danaher Corporation in its acquisition of Sedaru, Inc.
  • Dentsply Sirona Inc. in connection with various matters, including its acquisitions of Byte and Propel Orthodontics
  • Fortive Corporation in a reverse Morris trust transaction involving the merger of its automation and specialty business with Altra Industrial Motion Corp. and split-off exchange offer of shares of the combined business for shares of Fortive common stock
  • Fortress Investment Group LLC in the sale of TRAC Intermodal Holding Corp. to Stonepeak Infrastructure Partners
  • Hg in numerous transactions and corporate matters, including its:
    • investment in Revalize, Inc.
    • acquisition of GTreasury
    • investment in Benevity, Inc.
  • Mars, Incorporated in numerous transactions and corporate matters, including its:
    • acquisition of NomNomNow Inc.
    • reorganization to combine its chocolate and Wrigley segments to create Mars Wrigley Confectionery
  • Onyx Renewable Partners L.P., a Blackstone portfolio company, in connection with the sale of multiple portfolios of distributed generation and small-scale utility solar projects
  • Protective Insurance Corporation’s special committee of the board of directors in connection with its response to control share transactions and business combinations proposed by a group of shareholders controlling in excess of 40% of outstanding voting shares, as well as in Protective’s sale to The Progressive Corporation
  • Veritas Capital and certain of its portfolio companies in various transactions and corporate matters, including the acquisition, together with Evergreen Coast Capital Corporation, of Cubic Corporation

Ms. Nehmeh is actively involved in Skadden’s recruiting, corporate training and summer associate programs. She also is active in diversity initiatives and serves on the Steering Committee of the firm’s Middle Eastern and North African Affinity Network.
