Timothy F. Nelson advises public and private clients, including numerous Fortune 500 corporations, on executive compensation and benefits matters.

Bio

Mr. Nelson counsels corporations and individual executives in the negotiation and preparation of compensation arrangements, including employment agreements, equity and other incentive plans, and retention and termination agreements.

Mr. Nelson has represented both purchasers and sellers in a wide variety of corporate transactions, including mergers, asset sales, stock purchases and spin-offs. He also has advised clients with respect to the potential impacts of “golden parachute” termination agreements, permissible treatment of equity compensation, the structure of retention and deal bonus arrangements, and related tax and disclosure considerations.

Mr. Nelson frequently conducts reviews of corporate compensation programs to identify and correct change-in-control-related deficiencies in such arrangements, and has counseled publicly traded clients on the design of compensation programs, including preparation of executive compensation-related disclosures.
