Sonali Parikh advises public and private multinational clients on a broad range of tax matters, focusing on corporate mergers and acquisitions and international tax planning.
Mrs. Parikh’s transactional practice includes counseling clients across industries on the U.S. federal income tax aspects of corporate mergers and acquisitions and debt and equity financings, as well as sovereign wealth funds with respect to their investments in private funds.
Her tax planning practice, which particularly focuses on transfer pricing, includes advising multinational clients in the pharmaceutical and biotechnology sectors on transactions and internal restructurings involving ongoing business operations, intangibles and services transactions, and supply chain management.

- NXP Semiconductors, N.V. in:
- the sale of its MEMS sensors business to STMicroelectronics N.V. for $900 million upfront and $50 million in future milestone payments
- its $625 million acquisition of TTTech Auto
- Honeywell International Inc. in:
- the spin-off of Solstice Advanced Materials, its advanced materials business, into an independent, publicly traded company.
- its $1.9 billion acquisition of CAES Systems Holdings LLC from Advent International, L.P.
- its $4.95 billion acquisition of the global access solutions business of Carrier Global Corporation
- Squarespace, Inc. in its $7.2 billion going-private acquisition by Permira Advisers
- TOM FORD in its acquisition by The Estée Lauder Companies Inc. at an enterprise value of $2.8 billion
- Amgen Inc. in connection with a significant transfer pricing case in U.S. Tax Court concerning the licensing of complex biopharmaceutical products from the U.S. to Amgen’s Puerto Rican subsidiary. The case involved approximately $8.7 billion of tax plus interest and $2 billion of penalties. This was the first transfer pricing case involving biopharmaceutical manufacturing
Mrs. Parikh’s tax planning experience includes advising on:
- optimizing post-acquisition integration and implementation of acquired business lines, with a particular focus on intellectual property planning
- the tax, organizational and supply chain implications of global expansions of research, manufacturing and support service operations
Mrs. Parikh is actively involved in Skadden’s training and recruiting programs and is a member of the New York office’s Associates Committee.
