Kashira D. Patterson
Bio
Kashira Patterson advises clients on a wide range of transactions involving the ownership, protection and commercialization of intellectual property and technology. She regularly counsels clients on mergers, acquisitions, spin-offs, divestitures, financings, joint ventures, securities offerings, licenses, collaborations and other complex corporate matters.
Ms. Patterson frequently advises clients across a variety of industries on data privacy and cybersecurity issues in connection with cross-border corporate transactions. She has extensive experience drafting, negotiating and advising on data processing, data sharing and data transfer transactional matters, with a particular focus on the insurance and reinsurance sectors.
Ms. Patterson was a key member of the deal team honored with the Impact Deal of the Year award at Managing IP’s 2024 Awards, and she has been named one of The National Black Lawyers’ Top 40 Under 40 in recognition of her work. Representative transactions include:
- MasterBrand, Inc. in its combination with American Woodmark Corporation
- Talcott Resolution Life Insurance Co. in its $10 billion block reinsurance of certain variable annuity with MetLife
- NXP Semiconductors NV in the $950 million sale of its sensor business unit to STMicroelectronics
- a leading engineering and professional services consulting firm in its global strategic alliance with a prominent technology company to accelerate industry digitization and develop and market technology solutions and AI products
- The Travelers Companies in the $2.4 billion sale of certain lines of its Canadian business to Definity Financial Corp.
- Brookfield Reinsurance Ltd. in its $5.1 billion acquisition of American National Group, Inc.
- Edwards Lifesciences in the $4.2 billion sale of its Critical Care product group to Becton, Dickinson and Company
- Trimble Inc. in its sale of its global transportation telematics business units to Platform Science, Inc.
- Ansys in its $35 billion sale to Synopsys
- Visa in its $1 billion acquisition of Pismo
- The XFL in its combination with the United States Football League to create the United Football League
- Square Enix in its $300 million sale of Crystal Dynamics, Eidos Interactive Corp. and an IP catalogue to Embracer Group
Ms. Patterson also maintains a pro bono practice that includes advising nonprofit organizations on matters relating to corporate governance and IP portfolio management, representing individuals in immigration matters and helping individuals receive gender-affirming care and services. In addition, she serves as a mentor to women attending New York University School of Law through Skadden’s partnership with the Birnbaum Women’s Leadership Center.
