Bio

Olivier Peeters advises insurers, brokers and private equity sponsors on mergers and acquisitions, disposals, investments, reorganizations, alternative transaction structures, multijurisdictional disputes and regulatory matters.

Mr. Peeters’ transactional and regulatory experience includes advising:

  • a major U.K.-based carrier-broker in connection with the acquisition of a Gibraltar carrier-broker group
  • Northlight Group LLP on the acquisition by one of its managed funds of the Carrick Group, an international nonlife legacy insurance business providing reinsurance and runoff management solutions with operations in Bermuda, the U.K. and the U.S.
  • Intact Financial Corporation and its subsidiary Royal & Sun Alliance Insurance on:
    • the US$648 million acquisition of the brokered commercial lines operations of Direct Line Insurance Group plc
    • the sale of its retail motor insurance business to Atlanta Group Ltd.
  • Liberty Mutual on its US$2.5 billion sale of Liberty Seguros to Generali Group
  • Argo Group International on the US$125 million sale of Argo Underwriting Agency and Lloyd’s Syndicate 1200 to Westfield Insurance
  • Sompo International on its sale of Lloyd’s Syndicate 5151 to Riverstone
  • Acrisure, LLC on its acquisition of Volante Global
  • Apollo Global Management on its US$11 billion merger with Athene Holding Ltd.
  • Willis Towers Watson on its US$4 billion sale of Willis Re to A. J. Gallagher
  • Phoenix on its US$272 million sale of Ark Life Assurance Company Limited to Irish Life Group Limited
  • U.K.- and Gibraltar-based insurers on a series of regulatory capital issuances and reinsurances in connection with reorganizations of regulated carrier and broker groups involving regulatory clearances in Germany, the Netherlands, Turkey, Korea, Taiwan, Hong Kong, Singapore and Indonesia

His contentious experience includes advising:

  • the special committee of the board of directors of SiriusPoint Ltd. on its successful defense of an unsolicited take-private approach by Daniel Loeb, the chief executive officer of Third Point LLC
  • major U.K.-based brokers and broker-carriers in connection with:
    • the successful settlement of a £2 billion dispute with a main underwriter
    • the successful resolution of financial regulatory enquiries
  • a French company on a large dispute governed by French law and venued in Paris
