Scott Persinger represents public and private companies in connection with various transactions, as well as a broad range of corporate matters, including securities law compliance, disclosure and periodic reporting and governance.
Bio
Mr. Persinger focuses his practice on representing strategic and financial buyers and sellers across a variety of industries in negotiated and contested corporate transactions, including mergers, stock and asset acquisitions, equity investments, joint ventures, divestitures and restructurings.
Mr. Persinger’s experience includes, among others, advising:
- Cardinal Health, Inc. in its $1.1 billion acquisition of the Advanced Diabetes Supply Group from affiliates of Court Square Capital Management, L.P.
- the special committee of the board of directors of R1 RCM Inc. in its acquisition by investment funds affiliated with TowerBrook Capital Partners, L.P. and Clayton, Dubilier & Rice, LLC at an enterprise value of $8.9 billion
- The Middleby Corporation in its acquisition of numerous private companies and other strategic investments
- Stryker Corporation in its:
- $5.4 billion acquisition of Wright Medical Group N.V.
- $1.6 billion acquisition of K2M Group Holdings, Inc.
- $662 million acquisition of Entellus Medical, Inc.
- Exact Sciences Corporation in its $2.8 billion acquisition of Genomic Health, Inc.
- Encina Equipment Finance, LLC in the sale of substantially all of its equity interests to Franklin BSP Lending Corporation and Franklin BSP Capital Corporation
- Encina Business Credit, LLC in the sale of substantially all of its equity interests to Barings affiliated funds
- SP Plus Corporation in its acquisition of substantially all of the assets of Divrt, Inc.
- a private equity firm in its acquisition of a chemical manufacturer of building products, intermediaries, aerospace and specialty coatings
- Hanwha Aerospace Co., Ltd. in its $300 million acquisition of EDAC Technologies Corporation from Greenbriar Equity Group, L.P.
In recognition of his work in corporate law, Mr. Persinger has been named among Best Lawyers’ Ones To Watch.
Mr. Persinger also dedicates a portion of his practice to pro bono work, including advising, among others, various nonprofits and individuals seeking asylum and work authorization in the U.S.
