Lisa Marie Rechden

Lisa Rechden advises clients on a variety of issues, with a focus on matters pertaining to Federal Acquisition Regulations (FAR); Defense Federal Acquisition Regulation Supplement (DFARS); Foreign Ownership, Control or Influence (FOCI) under the National Industrial Security Policy Operating Manual (NISPOM); Cybersecurity Maturity Model Certifications (CMMC); the Committee on Foreign Investment in the United States (CFIUS); ex-U.S. foreign direct investment (FDI) screening; the Outbound Investment Security Program (OISP); and the Data Security Program (DSP).

Ms. Rechden regularly advises clients on acquisition, integration and post-closing activities, particularly for clients with classified and/or unclassified government contracts and those seeking investments from the U.S. government. She assists both buyers and sellers in navigating the regulatory aspects of complex M&A deals involving government contractors, including due diligence reviews of FAR and DFARS requirements; analysis of OISP and DSP application; contract negotiations; and CFIUS and FDI filings. Ms. Rechden works closely with clients to navigate compliance obligations under CMMC and the NISPOM and to mitigate security concerns with the Defense Counterintelligence and Security Agency regarding classified programs and facilities.

Ms. Rechden works closely with clients looking to develop, expand and/or invest in companies subject to the NISPOM, in addition counseling clients on navigating compliance and mitigation matters with the Defense Counterintelligence and Security Agency regarding classified programs and facilities.

Ms. Rechden counsels government contractors on their disputes with government agencies, teaming partners and competitors, including with regard to 1260H listings, intellectual property and workshare disputes and False Claims Act allegations. She also advises government contractors on regulatory compliance requirements for their AI and cybersecurity offerings.

Prior to moving to private practice, Ms. Rechden served in the Air Force Judge Advocate General’s (JAG) Corps. She also taught a government contracts course as an adjunct professor at American University Washington College of Law.
