Anastasia Rockas focuses her practice on private investment funds and private investments.

Bio

Ms. Rockas’ private investment fund practice comprises representing sponsors in forming various types of domestic and offshore funds, such as funds of funds, real estate funds, private equity funds, debt funds, captive funds, venture capital funds, impact funds, hedge funds, including those targeted to particular industries, countries or regions. She represents significant investors, such as family offices, sovereign wealth funds, pension plans and other institutional investors, in their investments in private funds. Ms. Rockas’ practice includes representation of investment advisers as well as investors in connection with managed accounts, funds of one and investment advisory agreements. She has extensive experience representing investment advisers as well as private equity investment principals in negotiating and documenting their management company and general partner structures, including their incentive compensation arrangements, employment matters and succession issues. Her practice includes all aspects of structuring of, and investments by, family offices. Ms. Rockas works on a variety of investment transactions involving private funds, including investments in investment advisory businesses and other types of equity investments.

Ms. Rockas assists investment advisers with various regulatory and compliance matters, such as investment adviser registrations with the SEC and ongoing compliance, SEC examinations, regulatory filings with the SEC and the Treasury Department, as well as CFTC and ERISA issues.

Ms. Rockas is an active member of various bar and professional associations. She is currently the chair and co-founder of the New York State Bar Association’s Private Fund Committee. Additionally, she is a member of the American Bar Association’s Private Fund and Institutional Investor committees. She also is a former chair of the New York State Bar Association’s Business Law Section and Securities Regulation Committee and a former member of the Managed Fund Association’s Outside Counsel Forum. Ms. Rockas was named Best in Investment Funds at Euromoney’s 2020 Women in Business Law Americas Awards and has been named to The Best Lawyers in America and The Legal 500 U.S.
