Bio

Junying Shao represents public and private companies and private equity firms in complex strategic transactions, including domestic and cross-border mergers, acquisitions and investments. Ms. Shao regularly advises large international companies on general corporate matters and counsels special purpose acquisition companies on their initial public offerings and eventual business combinations.

Selected representative matters include:

M&A

  • Activision Blizzard Inc. in its $75 billion acquisition by Microsoft Corporation
  • Credit Karma, Inc. in its $8.1 billion acquisition by Intuit Inc.
  • Coherent in its initially announced $5.7 billion sale to Lumentum, followed by Coherent’s subsequent responses to competing acquisition proposals from MKS Instruments, II-VI and Lumentum in a three-party bidding war culminating in Coherent’s $7.1 billion sale to II-VI
  • Intel Corporation in its proposed (but terminated) $5.4 billion acquisition of Tower Semiconductor
  • Visa Inc. in its:
    • proposed (but terminated) $5.3 billion acquisition of Plaid Inc.
    • $1 billion acquisition of Pismo
  • Silver Lake Partners in its acquisition of a majority stake in ServiceMax, Inc. from GE Digital LLC and subsequent acquisition of Zinc Inc.
  • Velodyne Lidar, Inc. in its merger of equals with Ouster, Inc.
  • ACE Convergence Acquisition Corp., a special purpose acquisition company, in its $919 million merger with Tempo Automation Inc.
  • Perception Capital Corp. II in its merger with Spectaire, Inc. at an enterprise value of $203 million
  • Hexaware Technologies Limited in its $182 million acquisition of Mobiquity Inc.

  • ACE Convergence Acquisition Corp. in its $230 million IPO
  • the underwriters in the $443 million IPO of CM Life Sciences, Inc.
  • the underwriters in the $230 million IPO of Authentic Equity Acquisition Corp.

Ms. Shao is actively involved in Skadden’s recruiting and corporate summer training programs. She also serves on the Palo Alto office’s Diversity Committee.
