Ms. Spalding regularly counsels private and public clients on a variety of U.S. and cross-border corporate matters, including dispositions, restructurings, mergers, acquisitions, auctions, carve-outs, unsolicited proposals and joint ventures.

    • $6 billion acquisition by funds managed by Stone Point Capital and Insight Partners
    • prior proxy fight with Senator Investment Group and Cannae Holdings
  • Correvio Pharma Corp. in its acquisition by Advanz Pharma Corp. Limited
  • CPI International, Inc. in various transactions, including its:
    • acquisition of ASC Signal Holdings Corporation
    • acquisition of TMD Holdings Limited
  • Crane NXT, Co. and Crane Company in various transactions, including:
    • the restructuring of their holding company
