Charlie B. Sprayregen

Charlie Sprayregen regularly represents clients in diverse and sophisticated real estate matters, with a specific focus on joint venture transactions, real estate investment trust (REIT) formation, and portfolio and single-asset acquisitions and dispositions.

Mr. Sprayregen represents investors with respect to real property acquisitions and dispositions, as well as partnership and joint venture investments. He has also advised public and private companies on sale and acquisition transactions, including mergers and stock and asset acquisitions.

Mr. Sprayregen’s representations include:

• a sovereign wealth fund with respect to the formation of:
  • a joint venture and the simultaneous acquisition of approximately $720 million of health care properties, plus a related $400 million financing
  • a joint venture to acquire the ownership interests of four data centers in the U.S., totaling $510 million in the aggregate
  • a $160 million programmatic joint venture to acquire data centers in Brazil
  • a $600 million programmatic joint venture to acquire student housing properties in the U.S.
  • a joint venture to redevelop a 26-story office and mixed-use tower in New York City
  • a $300 million programmatic joint venture to acquire industrial properties in the U.S.
• a global hydrogen and nitrogen products manufacturer with respect to:
  • its $1.7 billion acquisition of Incitec Pivot Limited’s ammonia production complex located in Waggaman, Louisiana
  • its acquisition of property to be developed as an ammonia production facility located in Ascension Parish, Louisiana
  • negotiating and entering into a lease agreement for its headquarters
• LL Flooring Holdings in its $105 million sale and lease-back of its distribution center located in Sandston, Virginia, as part of its voluntary Chapter 11 filing
• AutoNation, with respect to its:
  • acquisition of two luxury car dealerships in Chicago
  • disposition of a car dealership in White Bear Lake, Minnesota
• The Middleby Corporation with respect to numerous acquisitions of real property in connection with the simultaneous acquisitions of private companies
