Dylan Tillman advises clients on the development, structure, operation and regulation of business development companies, closed-end funds, mutual funds and exchange traded funds.

Bio

Mr. Tillman has represented issuers and underwriters in initial public offerings and secondary marked financings by closed-end funds and business development companies, including common share, at-the-market and rights offerings, as well as public and private debt, preferred stock and convertible securities offerings.

Mr. Tillman regularly counsels registered investment funds and business development companies and their boards of directors in connection with directors’ duties, corporate governance and regulatory matters, including seeking and obtaining exemptive or no-action relief from the SEC. He has experience representing closed-end funds in activist defense matters, including corporate preparedness and protective measures, responses to activist shareholders and contested proxy solicitations and related matters.

In addition, Mr. Tillman represents investment advisers, banks and broker-dealers in transactions and operational and regulatory matters involving investment adviser and investment company regulation. He also counsels operating companies regarding their status under the Investment Company Act.

Mr. Tillman has represented:

  • sponsors such as Advent, BlackRock, Brookfield, Crescent Capital, Cushing Asset Management, Gabelli, Guggenheim Funds, Prospect Capital and XA Investments in connection with initial public offerings and secondary offerings of closed-end funds and business development companies totaling over $3 billion
  • investment banks, including Bank of America Merrill Lynch, Citi, Citizens JMP, Goldman Sachs, Jefferies, UBS and Wells Fargo, as underwriters of offerings totaling over $9 billion by closed-end funds and business development companies
  • sponsors such as Cushing Asset Management, Gabelli and Nuveen in disputes with activist shareholders, including Bulldog Investors, Karpus Management and Saba Capital Management
  • sponsors such as Advent, Future Standard and Nuveen in registered fund mergers
  • sponsors, including Cushing Asset Management, Gabelli and Prospect Capital, in registered fund spin-off transactions
