Max Troper is a corporate attorney who advises public and private companies, private equity sponsors, portfolio companies, family offices and special committees in a variety of U.S. and cross-border mergers, acquisitions, dispositions, investments, joint ventures, restructurings and general corporate matters.

  • LVMH Moët Hennessy Louis Vuitton S.E. in its $16.2 billion acquisition of Tiffany & Co., which was the largest-ever luxury sector transaction
  • BlackRock, Inc. in its pending $12.5 billion acquisition of Global Infrastructure Partners
  • Apartment Income REIT Corp. in its $10 billion take-private transaction with Blackstone
  • American Express Global Business Travel in its:
    • $5.3 billion business combination with Apollo Strategic Growth Capital, pursuant to which American Express Global Business Travel became the world’s largest publicly traded B2B travel platform
    • acquisition of the Egencia corporate travel business from Expedia
    • pending $570 million acquisition of CWT
    • collapse of its Up-C structure
  • Duck Creek Technologies, Inc. in its:
    • $2.6 billion take-private transaction with Vista Equity Partners
    • acquisition of IMburse Payments
  • Broadscale Acquisition Corp. in its proposed but terminated $1.3 billion business combination with Voltus, Inc., a technology startup in the electricity market
  • Vital Proteins in its acquisition by Nestle Health Science
  • Anbang Insurance Group Co., Ltd. as lead member of an investor group in its proposed, unsolicited $14 billion acquisition of Starwood Hotels & Resorts Worldwide Inc.
  • WhistlePig, a distiller of luxury rye whiskey, in its partnership with BDT Capital Partners and its related liquidity transaction
  • GP Investments Acquisition Corp. in its proposed (but terminated) $570 million acquisition of World Kitchen and its subsequent $850 million business combination with Rimini Street Inc.
  • DuPont in its $725 million disposition of its trichlorosilane business to Hemlock Semiconductor and the disposition of its stake in the Hemlock joint ventures
