Yilin Xu focuses on public listings, mergers and acquisitions, private equity investment and other corporate matters for public companies, advising on a range of matters for several international corporations and organizations. His recent representative experience includes:

Capital Markets

  • China Literature Limited in its spin-off from Tencent Holdings Limited (China) via an HK$8.3 billion (US$1.06 billion) initial public offering and listing on the Hong Kong Stock Exchange; 
  • 58.com Inc., an online classified advertisement website, in its initial public offering;
  • Momo Inc., one of China’s leading mobile social networking platforms, in its initial public offering;
  • Jumei International Holding Limited, a leading online retailer of beauty products based in China, in its initial public offering;
  • Cheetah Mobile, a mobile applications developer, in its initial public offering;
  • Tarena International, Inc., a provider of professional education services in China, in its initial public offering;
  • Baidu, Inc., a NASDAQ-listed leading Chinese language internet search provider, in its public offering of debt securities;
  • China Online Education Group in its initial public offering; and
  • YY Inc., an online social platform developer, in its initial public offering.

M&A and Private Equity

  • Didi Chuxing in its acquisition of UberChina from Uber Technologies Inc.;
  • Meilishuo in its US$2.4 billion acquisition by Mogujie;
  • 58.com Inc. in its US$9 billion strategic transactions with Falcon View Technology Limited, the parent company of Ganji.com, and its shareholders;
  • a buyer consortium consisting of Carlyle Group Inc., Trustbridge Partners V, L.P. and a large strategic investor in connection with the acquisition of a controlling stake in Cloudary Corporation, an online provider of literature and publications;
  • the buyer group including Mr. Jun Lei and Mr. David Xueling Li, in its proposed US$3.7 billion going-private acquisition of YY Inc.;
  • the buyer group led by Momo’s chairman and CEO, Matrix Partners, Sequoia Capital and Huatai Ruilian, in the proposed going-private transaction of Momo Inc.;
  • the buyer group consisting of Mr. Leo Ou Chen, Mr. Yusen Dai and Sequoia Capital in the proposed going-private transaction of Jumei International Holding Limited;
  • the buyer consortium consisting of The Carlyle Group, Sequoia Capital and Actis Capital, in the $688 million going-private transaction of 7 Days Group Holdings Limited;
  • Mr. Jason Nanchun Jiang, the chairman and chief executive officer of Focus Media Holding Limited, as part of a consortium in the US$3.7 billion going-private acquisition of Focus Media; and
  • Xiaomi, Inc. (China) in its acquisition of a portfolio of more than 300 patents from Intel Corporation.
