Skadden is representing The Ensign Group, Inc. in the separation of its health care and real estate businesses into two independent, publicly traded companies through a spin-off that is intended to be tax-free, announced on November 7. This includes The Ensign Group, which will continue to provide health care services through its existing operations; and CareTrust REIT, Inc., which will own, acquire and lease real estate serving the health care industry and elect REIT status.
