Freescale Defeats Class Action to Enjoin Merger

Skadden represented Freescale Semiconductor, Ltd., its directors and Freescale Holdings, L.P. in defeating a putative class action brought in the U.S. District Court for the Western District of Texas by a shareholder seeking to enjoin Freescale Semiconductor's proposed $40 billion merger with NXP Semiconductors, N.V. After Skadden filed a motion to dismiss demonstrating that the defendants complied with the securities laws and the plaintiff failed to state a breach of fiduciary duty claim under the governing Bermuda law, the plaintiff voluntarily dismissed the case.
