On behalf of DENTSPLY SIRONA Inc. and certain current and former officers and directors, Skadden secured the dismissal of claims under Sections 11, 12(a)(2) and 15 of the Securities Act. On September 26, Justice Saliann Scarpulla of the New York State Commercial Division dismissed the complaint against DENTSPLY in its entirety, finding that the plaintiffs, seeking to represent a class of former Sirona Dental Systems Inc. (Sirona) shareholders, had not alleged any actionable misstatements or omissions in DENTSPLY’s registration statement and prospectus issued in connection with DENTSPLY International Inc.’s 2016 merger with Sirona.
