Stone Point Wins Dismissal of Breach of Fiduciary Duty Claims

Skadden secured the dismissal of breach of fiduciary duty and aiding and abetting claims on behalf of Stone Point Capital LLC and Trident HI, Inc., a fund managed by Stone Point. A derivative lawsuit, which challenged a series of convertible debt offerings, was brought in the Delaware Court of Chancery by stockholders of Health Integrated, Inc., to which our clients became creditors in connection with the offerings. In September 2019, the court issued a memorandum opinion dismissing the breach of fiduciary duty claims against our clients, followed by an order on April 30, 2020, dismissing the remaining aiding and abetting claims.
