Skadden secured the dismissal with prejudice of a consolidated derivative action filed in the Eastern District of Missouri by three shareholder groups against certain of Centene Corporation’s current and former directors and officers, alleging the defendants breached their fiduciary duties and made allegedly misleading statements in connection with Centene’s merger with Health Net, LLC. The court granted in its entirety Centene’s motion to dismiss the action for failure to plead demand futility.
