Skadden represented RR Donnelley and its board of directors in the dismissal of a derivative action in the Delaware Court of Chancery challenging the company’s nonemployee director compensation. On January 31, Vice Chancellor Sam Glasscock III granted the defendants’ motion to dismiss, holding that the plaintiffs failed to allege that the board wrongfully rejected their demand and the board’s decision to reject the demand constituted a valid exercise of business judgment.
