Bio

Khadija Messina focuses her practice on securities regulation, corporate governance and general corporate and securities matters.

Ms. Messina regularly advises public companies on their SEC filings, including current and periodic reports, earnings materials, proxy statements and other annual meeting materials, as well as on registration statements and responses to staff comment letters. She also regularly counsels clients on compliance with the listing requirements of the New York Stock Exchange and Nasdaq.

In addition, Ms. Messina frequently works with companies on corporate governance matters, including public company board committee charters, corporate governance guidelines, transactions with related persons, insider trading policies and director independence. She also often assists clients on best practices and trends regarding ESG disclosures.

Ms. Messina maintains an active pro bono practice, including advising nonprofit organizations on corporate governance matters and representing individuals seeking asylum in the United States. She also serves as a member of the Young Professionals Board of Ascend Justice, a nonprofit organization that provides legal services and advocacy for individuals and families impacted by gender-based violence or the child welfare system.
