Abigail Reeves focuses her practice on advising private capital clients on the formation, structuring and marketing of their fund and investment structures. Ms. Reeves has extensive experience counseling financial institutions, including asset managers, financial sponsors, banks and insurance companies, on their regulatory obligations, internal governance and compliance arrangements.
Bio
Ms. Reeves’ relevant experience includes advising:
- Convera in connection with its US$910 million acquisition of Western Union Business Solutions
- Arrow Global Group PLC in the establishment of its new fund management business and the successful launch of its new pan-European nonperforming loan fund, Arrow Credit Opportunities SCSp, with initial commitments of €838 million
- B-Flexion, the Bertarelli family’s investment vehicle, in connection with the sale of a portfolio of secondary interests in a fund of fund platform
- BlackRock in its acquisition of Kreos Capital, a leading provider of growth and venture debt financing in Europe and Israel
- Blackstone in the establishment of Syndicate 2478, a reinsurance syndicate at Lloyd’s that will be a multiyear participant on AIG’s outwards reinsurance program. Syndicate 2478 will be supported by third-party capital from funds managed by Blackstone through the London Bridge 2 PCC structure and Blackstone will act as investment manager for syndicate assets
- Crosstree Real Estate Partners LLP in the formation of the £350 million Crosstree Real Estate Special Situations Fund II LP. Crosstree Real Estate Partners is a subsidiary of Waypoint GP Limited (Switzerland), an investment fund created by the Bertarelli family
- Citi Private Advisory, LLC in the formation of the European Tech Growth Offshore Feeder Fund, Ltd. and related platform arrangements to invest in a European Growth Fund
- PayPal, Inc. in its US$400 million acquisition of Hyperwallet Systems Inc.
- Castik Capital S.à.r.l. in the sale of its stake in Waterlogic plc (Ireland) to its new EPIC I-b single asset fund
- I Squared Capital in connection with its acquisition of Arriva from Deutsche Bahn;
- Zuber and Mohsin Issa, owners of EG Group, and TDR Capital LLP in their acquisition of a majority stake in ASDA Group Limited from Walmart Inc.
- funds advised by Permira Advisers in its US$1.8 billion acquisition of Duff & Phelps Corporation from The Carlyle Group Inc.
- the US$4.2 billion sale of Duff & Phelps, LLC to a consortium led by funds managed by Stone Point Capital LLC and Further Global Capital Management, L.P.
- Raymond James Financial, Inc. in its US$387 million acquisition of Charles Stanley Group PLC
- Telegram Group Inc. in its US$1.7 billion offering of investment contracts
- Neuberger Berman Group LLC in the merger of its Dyal Capital Partners division and Owl Rock Capital Group with Altimar Acquisition Corporation to form Blue Owl Capital Inc. at an enterprise value of US$12.5 billion. As a result of the merger, Blue Owl became a publicly traded company with an Up-C structure
- Silver Lake in its acquisition of a majority stake in Groupe Meilleurtaux from West Street Capital Partners (a fund managed by the Goldman Sachs Merchant Banking Division)
- a subsidiary of a multinational banking conglomerate in connection with the preparation and implementation of specific policies and procedures for compliance with U.K. Financial Conduct Authority and EU ESG rules (including the Sustainable Finance Disclosures Regulation)
- a leading sovereign wealth fund in its cornerstone investments in certain private equity funds and private equity real estate funds and related continuation vehicles
- a large sovereign wealth fund on multiple co-investments as a limited partner into several real estate and infrastructure focused funds
- a family office in the establishment of a new holding and investment management structure
- a multinational financial services company in connection with a review of compliance policies and procedures and escalation routes, as well as with regard to a report on identified deficiencies and recommendations
Ms. Reeves writes and speaks extensively on asset management matters and is a co-host of Skadden’s “The Preferred Return” podcast, which focuses on key developments and regulatory updates in the private capital space.
Ms. Reeves spent time on secondment at the Bank of England, where she worked within its Enforcement and Litigation Division.
