Chicago corporate partner Kimberly deBeers and New York M&A partner Ann Beth Stebbins will join panel discussions on “Securities Law Aspects of Mergers, Acquisitions and Other Corporate Transactions” at PLI's “Understanding the Securities Law Fall 2014.” Ms. deBeers will speak at the Chicago installment of the seminar, to be held October 23-24; Ms. Stebbins will take part in the December 11-12 installment in New York. The discussions will focus on how the federal securities laws are triggered, cash versus stock consideration, mergers, third-party tender offers, issuer tender offers and going-private transactions, and the new ability of private company M&A brokers to avoid broker-dealer registration under certain circumstances.
