Cheryl Bunevich has broad experience as a transactional and regulatory attorney representing leading insurance companies and other financial institutions in a wide range of industry-specific corporate transactions, with a concentration in mergers and acquisitions, reinsurance, demutualizations and other complex financial transactions, as well as the resolution of corporate and regulatory compliance matters.

Bio

Ms. Bunevich has advised buyers and sellers, public and private companies, issuers and financial advisors in connection with various transactions and insurance regulatory matters.

Her transactions in the insurance industry include advising Swiss Re in its sale of Aurora National Life Assurance Company to RGA Reinsurance; Allianz in its sale of the personal lines insurance business of Fireman’s Fund to ACE through a combination of reinsurance and renewal rights; Swiss Re Life Capital Ltd in the sale of the U.S. portion of Swiss Re’s Admin Re division, consisting of Reassure America Life Insurance Company and related subsidiaries, to Jackson National Life Insurance Company; Pacific Life Insurance Company in the financing of its acquisition of the life retrocession business of ManuLife; John Hancock Financial Services in the acquisition of its long-term care business and the sale of its group life business; Mutual of America Life Insurance Company in the sale of The American Life Insurance Company of New York; CDC IXIS Financial Insurance Guaranty in the formation of a new financial guaranty company in New York and in the acquisition of Western Continental Insurance Company; and the New York State Department of Financial Services in connection with the demutualizations of Phoenix Home Life Mutual Insurance Company, Principal Mutual Holding Company and Provident Mutual Life Insurance Company.

Ms. Bunevich also has experience in capital markets transactions, the organization and licensing of insurers, securitizations, transactions involving the life settlement industry and assisting insurance companies in financial distress. Representative transactions include advising Ambac Assurance Corporation as issuer of a financial guaranty insurance policy in a XXX insurance securitization transaction; TIAA-CREF in the establishment of an EMTN program and the issuance of debt securities thereunder; and Deutsche Bank in the structuring and development of a life settlement acquisition program and the purchase and sale of portfolios of policies.

Prior to joining Skadden, Ms. Bunevich was a special counsel in the insurance group of another major law firm and associate general counsel at Wilton Re, a life reinsurance company.
