Jeongu Gim

Mr. Gim regularly prepares, reviews and advises on public companies’ filings with the SEC, including current and periodic reports, earnings materials, proxy statements and other annual meeting materials (including responding to shareholder proposals), registration statements, waiver requests and responses to staff comment letters, among other representations.

A significant portion of Mr. Gim’s practice focuses on advising companies, corporate insiders and investors on beneficial ownership compliance and reporting under Sections 13 and 16 of the Securities Exchange Act of 1934. This includes structuring transactions, developing related disclosure strategies and designing compliance programs for matters ranging from IPOs, M&As, de-SPACs and spin-offs to equity compensation and estate planning. He also advises clients on mitigating risks and defending against claims involving disclosure violations or the recovery of short-swing profits under Section 16(b).

Mr. Gim frequently counsels companies on corporate governance matters, including public company board committee charters, corporate governance guidelines, listing requirements of the New York Stock Exchange and Nasdaq, transactions with related persons, insider trading and director independence, among other matters. He also has significant experience advising issuers and their insiders on compliance and disclosure considerations related to insider trading policies, Rule 10b5-1 trading plans, share repurchases, Rule 144 sales and derivatives transactions. In addition, Mr. Gim often advises companies on best practices and trends regarding ESG disclosures.
