Michael John Goswell
John Goswell advises banks, funds and other financial institutions on structured finance and securitization transactions.
Bio
Mr. Goswell has extensive experience counseling on warehouse lending facilities secured by a wide range of financial asset classes, including consumer loans; credit card, wireless telecom and other accounts receivables; residential, commercial and multifamily mortgage loans; home equity investment contracts; and single-family rental properties. He regularly advises clients on the negotiation of purchase and servicing agreements, master repurchase agreements, revolving credit facilities, term loans and other financing arrangements.
Among other matters, Mr. Goswell’s representations prior to joining Skadden include:
- Goldman Sachs in connection with:
- over $5 billion of repurchase facilities secured by first- and second-lien mortgage loans
- an over $300 million warehouse facility secured by home improvement loans originated by Stream
- Morgan Stanley in connection with:
- the issuance of over $1 billion of 4(a)(2) privately placed notes secured by consumer loans originated by Affirm
- multiple warehouse financings of unsecured consumer loans originated by, among others, Upgrade and Prosper
- Castlelake in connection with:
- a $350 million rated term loan secured by credit card receivables
- a $500 million financing of unsecured consumer loans originated by Upstart
- Blue Owl and Libremax in connection with a post-bankruptcy workout of Sunnova’s $1 billion structured warehouse facility secured by a portfolio of residential solar tax equity partnership interests
- Hometap in connection with the sale and financing of over $500 million of home equity investment contracts
- Credit Suisse in connection with its $8 billion seller financing for the sale of Credit Suisse’s structured products business to Apollo
