Patrick Hasson advises clients on a wide array of transactional and tax planning matters.
Mr. Hasson counsels U.S. and international clients on public and private mergers, acquisitions, internal restructurings, joint ventures, equity and debt offerings, spin-offs and other tax-efficient divestitures. He also advises clients in the financial and asset management industries on a wide range of issues relating to trading and investment activities and the tax treatment of transactions in financial products.
Select representations include:
- FedEx Corporation in connection with:
- the separation of FedEx and FedEx Freight into two publicly traded companies
- debt-for-debt exchange offers and consent solicitations to amend the terms of approximately $16 billion worth of notes across 22 tranches
- Globalstar, Inc. in its pending $11 billion acquisition by Amazon, Inc.
- Lachlan Murdoch, Grace Murdoch, Chloe Murdoch and certain trusts for their benefit in connection with the resolution of all disputes with respect to the Murdoch Family Trust
- WSP Global Inc. in connection with its $3.3 billion acquisition of TRC Companies
- Air Products and Chemicals, Inc. in the $1.81 billion sale of its liquefied natural gas (LNG) process technology and equipment business to Honeywell
- Borr Drilling Limited in connection with multiple secured and convertible notes offerings
