Caroline C. Jaffer
Bio
Caroline Jaffer has extensive experience working on insurance matters and liaising with regulators in both the U.K. and internationally, having practised in both the U.K. and the Middle East.
Prior to joining Skadden, Ms. Jaffer worked at the Bank of England, where she gained unique insights as a lead insurance regulator within the U.K. Prudential Regulatory Authority (PRA) and as a legal adviser in the Bank of England Legal Directorate.
During her time in the Legal Directorate, Ms. Jaffer advised internal stakeholders on a broad range of matters regarding the prudential regulation of insurers, including the recently finalized PRA rules adopted pursuant to U.K. Solvency II reforms.
Her experience at Skadden includes advising:
- JAB Insurance on the acquisition of Utmost Life and Pensions (ULP) from Utmost Group plc. ULP is a U.K. life and pensions platform that serves approximately 290,000 pensioners and has more than £5 billion of assets under management
- Markerstudy Group on corporate, commercial and regulatory matters
- Saturn Holdings plc, the parent company of Tradex Insurance Company plc, a leading independent motor insurer in the U.K., in connection with its inaugural £180 million 9% reset subordinated Tier 2 notes offering and listing on the International Securities Market of the London Stock Exchange
- SiriusPoint Ltd. on the sale of its 49% stake in specialty managing general agent Arcadian Risk Capital to Lee Equity Partners for $139 million
- InEvo Re (established by Macquarie Asset Management) on its first pension risk transfer life reinsurance transaction
- Radian Group Inc. on its primarily all-cash US$1.7 billion acquisition of Inigo Limited
Ms. Jaffer writes extensively on insurance regulatory matters. She co-leads the current 2025-2026 series “The Encyclopoedia of Prudential Solvency” as part of Skadden’s “The Standard Formula” insurance newsletter and podcast, which focuses on various insurance prudential regimes around the world.
