Joshua Lin advises public and private clients on the U.S. tax aspects of a wide variety of transactions, including mergers and acquisitions, debt and equity financings, joint ventures and real estate transactions.
Selected representations include:
- Union Pacific Corporation in its pending $85 billion acquisition of Norfolk Southern Corporation
- Tether Inc. in connection with the pending launch of Twenty One Capital, Inc. through a merger with Cantor Equity Partners, Inc.
- Ardian Private Equity in its investment in a continuation vehicle set up by PAI Partners with regard to Froneri, a transaction that valued Froneri at approximately €15 billion
- eToro Group Ltd. in its $713 million IPO of Class A common shares and listing on Nasdaq
- Silverstein Capital Partners in its $665 million senior and mezzanine construction loans for 9 Dekalb, Brooklyn’s tallest skyscraper
- Lotus Technology Inc. in its merger with L Catterton Asia Acquisition Corp at an enterprise value of $5.4 billion
- Social Capital Hedosophia Holdings Corp. V in its merger with Social Finance, Inc. (SoFi) at an enterprise value of $6.6 billion
- Las Vegas Sands Corp. in the $6.25 billion sale of its real estate property and operations in Las Vegas to funds managed by affliates of Apollo Global Management, Inc.
- JPMorgan Chase Bank, N.A. in connection with the modification of a $1.195 billion senior loan originated for the development of the American Dream mall in New Jersey
- Alcon Inc. in its $1.3 billion Rule 144A/Regulation S offering of senior notes by Alcon Finance Corporation
- Pfizer Inc. in the tax aspects of a joint venture combining its and GlaxoSmithKline plc’s consumer health care businesses
- Wells Fargo & Company in the $2.1 billion carve-out sale of Wells Fargo Asset Management to GTCR LLC and Reverence Capital Partners, L.P.
