Bio

Alex Lyass advises public and private companies, private equity sponsors, portfolio companies, family offices and special committees in connection with domestic and cross-border mergers, acquisitions, dispositions, auctions, investments, restructurings and SPAC transactions, as well as on the formation of joint ventures and strategic partnerships. Ms. Lyass regularly counsels clients on securities, corporate governance, general corporate and other commercial matters.

Ms. Lyass has experience working on a wide range of transactions across a variety of industries, including:

  • Cadence Design Systems, Inc. in its $500 million acquisition of OpenEye Scientific Software, Inc.
  • Edwards Lifesciences Corporation in the $4.2 billion sale of its Critical Care product group to Becton, Dickinson and Company
  • Embracer Group, a Swedish video game and entertainment conglomerate, in its acquisitions of:
    • Middle-earth Enterprises, including the intellectual property rights to The Lord of the Rings and The Hobbit, literary works by J.R.R. Tolkien
    • Dark Horse Media, one of the largest U.S. independent comics companies
  • Juniper Networks, Inc. in its $14 billion acquisition by Hewlett Packard Enterprise
  • Mobileye in its $1 billion IPO and concurrent private placement
  • Mona Kattan, co-founder of Huda Beauty LLC, in the carve-out sale of Huda Beauty’s KAYALI fragrance business to General Atlantic
  • O’Reilly Automotive in several underwritten public offerings of senior notes
  • PLBY Group, Inc. in its $50 million rights offering and related registered direct offering
  • Trimble Inc. in the sale and contribution of its agriculture business to a joint venture with AGCO Corporation, as well as AGCO’s $2 billion acquisition of an 85% stake in the joint venture
  • United Talent Agency (UTA) in various matters, including:
    • the acquisition of a significant stake in agent Rich Paul’s Klutch Sports, which represents LeBron James and other top NBA athletes, and the formation of a UTA sports division
    • the acquisition of baseball talent agency REP 1 Baseball
  • Velodyne Lidar, Inc. in its merger of equals with Ouster, Inc.

Ms. Lyass is actively involved in Skadden’s training and recruiting initiatives and serves on the Los Angeles office’s Hiring and Associates committees. She also maintains an active pro bono practice focused on representing nonprofits and small businesses, including several organizations with regard to formation, governance and compliance issues, including the American Jewish University, the Karsh Family Social Services Center and Los Angeles World Affairs Council & Town Hall.
