Meghan McConnell advises clients on a broad range of high-stakes antitrust transactional, litigation and investigatory matters. She represents clients in investigations and merger reviews conducted by the Department of Justice and Federal Trade Commission, as well as in complex and multidistrict litigation. Ms. McConnell has worked with clients in a broad range of industries, including technology, consumer goods, transportation, telecommunications, health care, pharmaceuticals and manufacturing.
Some of her significant representations include:
- Mars, Inc. in its $35.9 billion acquisition of Kellanova
- Netflix, Inc. in its proposed acquisition of Warner Bros. following the pending separation of Discovery Global for a total enterprise value of $82.7 billion (equity value of $72 billion)
- Skyworks Solutions, Inc. in its proposed combination with Qorvo to create a combined enterprise valued at $22 billion
- ServiceNow, Inc. in its $2.85 billion acquisition of Moveworks
- Juniper Networks, Inc. in its $14 billion sale to Hewlett-Packard Enterprises, including in a lawsuit brought by the DOJ challenging the acquisition
- Adobe, Inc. in its proposed (but terminated) $20 billion acquisition of Figma
- Intelsat S.A. in its $3.1 billion sale to SES
- Exact Sciences Corp. in its pending $23 billion sale to Abbott Laboratories
- Centene Corp. in its sale of Magellan Rx to Prime Therapeutics
- CTI BioPharma Corp. in its $1.7 billion sale to Swedish Orphan Biovitrum (SOBI)
- MasterBrand, Inc. in multiple transactions, including its pending acquisition of American Woodmark Corporation at an enterprise value of $3.6 billion and its $520 million acquisition of Supreme Cabinetry Brands, Inc.
- Stanley Black & Decker, Inc. in the $760 million sale of its attachments and handheld hydraulic tools business to Epiroc AB
- Allegiant Travel Company in its pending $1.5 billion acquisition of Sun Country Airlines
- Norfolk Southern Railway Company in:
- a summary judgment victory in an action brought by CSX Transportation, Inc. alleging violations of Sections 1 and 2 of the Sherman Act
- a summary judgment victory in two multidistrict litigations brought by over 110 individual plaintiffs alleging a price-fixing conspiracy related to fuel surcharges
Ms. McConnell also advises clients on day-to-day business issues, including with regard to joint ventures, competitor collaborations and unilateral conduct.
