Mike Sheerin represents clients in a broad range of antitrust transactional, litigation and advisory matters. His representations span a diverse range of industries, including technology, health care, life sciences, manufacturing, consumer goods, sports, entertainment and professional services.

Bio

Mr. Sheerin routinely appears before the U.S. Department of Justice, the Federal Trade Commission (FTC) and state antitrust authorities. He has been involved in numerous high-profile transactions, including:

  • Activision Blizzard Inc. in its acquisition by Microsoft Corporation, including a successful defense against the FTC’s challenge to the merger in federal court
  • EMC Corporation in its acquisition by Denali Holding Inc., the parent company of Dell Inc.
  • Red Hat, Inc. in its acquisition by IBM
  • Spotify Technology S.A. in its acquisition of Findaway World
  • Becton Dickinson in its acquisitions of C.R. Bard and CareFusion
  • Centene Corporation in several transactions, including its acquisition of WellCare Health Plans, Inc., acquisition of Magellan Health, Inc. and sale of Magellan Rx
  • Endo Pharmaceuticals Holdings Inc. in numerous acquisitions, including of Par Pharmaceutical and Paladin Labs Inc.
  • Express Scripts Holding Company in its acquisition by Cigna Corporation
  • DuPont in several transactions, including its merger with the Dow Chemical Company and sale of the majority of DuPont’s mobility and materials business to Celanese
  • WABCO Holdings in its acquisition by ZF Friedrichshafen
  • Rockwell Collins in its combination with United Technologies
  • Boral Limited in its acquisition of Headwaters Incorporated
  • CEMEX S.A. de C.V. in multiple transactions
  • Mars Inc. in several transactions, including its acquisition of VCA Inc.
  • Hillshire Brands Company in its sale to Tyson Foods, Inc.
  • Jos. A. Bank Clothiers Inc. in its unsolicited, but subsequently agreed upon, acquisition by The Men’s Wearhouse, Inc.
  • Springleaf Holdings, Inc. in its acquisition by OneMain Financial
  • The XFL in its combination with the United States Football League

Mr. Sheerin also represents clients in litigation matters, as well as civil and criminal government investigations. In addition, he advises on day-to-day business issues, including with respect to competitor collaborations and unilateral conduct.

In recognition of Mr. Sheerin’s work in antitrust and litigation, he was named one of Best Lawyers’ Ones To Watch in 2023 and 2024.
