Bio

Yi Wang represents companies and investment banks in a wide variety of public and private transactions of debt and equity securities, including initial public offerings, follow-on offerings, debt offerings, cross-border securities offerings and liability management transactions.

In addition, he counsels public companies on corporate governance, SEC and stock exchange compliance, and general corporate matters. He has worked on transactions for clients across a wide range of industries, including consumer retail products, health care, real estate, media and entertainment, technology, oil and gas, and manufacturing.

Mr. Wang’s select matters include representing:

  • Insight Enterprises, Inc. in its $500 million Rule 144A/Regulation S high-yield offering
  • Lucid Group Inc. in its:
    • $750 million 4(a)(2) private placement of convertible preferred stock; and
    • $680 million offering of common stock and concurrent $970 million private placement of common stock to its majority stockholder, Ayar Third Investment Company, an affiliate of the Public Investment Fund
