Bio
Yi Wang represents companies and investment banks in a wide variety of public and private transactions of debt and equity securities, including initial public offerings, follow-on offerings, debt offerings, cross-border securities offerings and liability management transactions.
In addition, he counsels public companies on corporate governance, SEC and stock exchange compliance, and general corporate matters. He has worked on transactions for clients across a wide range of industries, including consumer retail products, health care, real estate, media and entertainment, technology, oil and gas, and manufacturing.
Mr. Wang’s select matters include representing:
- Western Digital Corporation in its:
- disposition of a total of 27 million shares of SanDisk Corporation’s common stock valued at $3.9 billion through a series of debt-for-equity exchanges
- disposition of 1.86 million shares of SanDisk Corporation’s common stock valued at $860 million through equity-for-equity exchanges with several institutional investors
- Insight Enterprises, Inc. in its $500 million Rule 144A/Regulation S high-yield notes offering
- Lucid Group, Inc. in its:
- $1.05 billion capital raise consisting of (i) a $550 million private placement of Series C convertible preferred stock to an affiliate of the Public Investment Fund, Lucid’s majority stockholder; (ii) a $200 million private placement of common stock to Uber in connection with Lucid and Uber’s strategic partnership; and (iii) a $300 million registered offering of common stock.
- $975 million Rule 144A offering of 7.00% convertible senior notes due 2031
- $300 million issuance of its common stock in a private placement to Uber in connection with its autonomous robotaxi program with Uber
- $1.1 billion Rule 144A offering of 5.00% convertible senior notes due 2030
- $680 million registered offering of common stock and concurrent $970 million private placement of common stock to its majority stockholder, an affiliate of the Public Investment Fund
- $750 million 4(a)(2) private placement of convertible preferred stock
- DigitalOcean Holdings, Inc. in its $920 million upsized registered offering of common stock
