Jeremy Winter counsels U.S. and international clients on corporate matters, including financing transactions, acquisitions and corporate governance issues, with a concentration in the technology sector.

Bio

Mr. Winter has extensive experience representing innovative and disruptive companies on complex, high-profile transactions. He has advised companies and their founders, as well as investors and investment banks, in connection with a variety of capital markets transactions, including late-stage financings, initial public offerings, follow-on equity offerings, exchange offers and tender offers.

Significant representations include:

  • WeWork in connection with a $4.4 billion investment from the SoftBank Group and the SoftBank Vision Fund, including on the establishment of joint ventures and strategic partnerships, as well as subsequent warrant and convertible note financings and preparation for an initial public offering
  • growth equity financings for “unicorn” private companies, including Binance.US, Cava, Celonis, Hopper, Nextdoor, Squarespace and Via Transportation
  • Fiverr, NeoGames, Outbrain and Vroom in connection with initial public offerings and follow-on equity offerings
  • equity tender offers for private companies such as Celonis, Hopper, Nexthink, Squarespace and WeWork
  • private and public debt offerings for companies such as WeWork, Pfizer, BlackRock, DuPont and General Motors

Mr. Winter’s broader practice includes assisting companies with the review and preparation of public disclosures and other SEC filings, as well as investor relations, employee compensation and stock exchange matters.

During law school, Mr. Winter advised MIT- and Harvard-affiliated startup companies through the Innovation Labs at Harvard Business School and as part of the Harvard Law Entrepreneurship Project, where he was a member of the inaugural class of mentors.
