Bio

Lanie Covarrubias advises public and private companies in connection with various U.S. and cross-border corporate transactions, including mergers, stock and asset acquisitions and dispositions, securities offerings, carve-outs, joint ventures, spin-offs and reorganizations. Ms. Covarrubias regularly counsels companies and their boards on a broad range of corporate and securities matters, including securities law compliance, shareholder activism, disclosure, periodic reporting and corporate governance.

Ms. Covarrubias’ experience includes, among other matters, advising:

  • Spirit AeroSystems Holdings, Inc. on its $8.3 billion acquisition by The Boeing Company
  • The Middleby Corporation on its spin-off of Midera Food Processing, Inc. (formerly Middleby Food Processing) and acquisition of numerous private companies
  • R. R. Donnelley & Sons Company on its proposed (but terminated) $2.1 billion acquisition by affiliates of Atlas Holdings LLC, and subsequent $2.3 billion acquisition by affiliates of Chatham Asset Management, LLC
  • Maui Jim, Inc. on its acquisition by Kering Eyewear
  • Huron Consulting Group Inc. on its acquisition of numerous private companies
  • CME Group on its joint venture with FanDuel Group to launch FanDuel Predicts, a predictions market platform
  • Viking Cruises Ltd. on various high-yield secured and unsecured notes offerings
  • L Squared Capital Partners on its acquisition of Kano Laboratories Inc. from Gryphon Investors LP
  • AutoNation on its $190 million acquisition of RepairSmith

Ms. Covarrubias also maintains an active pro bono practice. She has represented survivors of sexual violence under the Illinois Gender Violence Act and individuals seeking asylum and change of status, as well as wrongfully incarcerated individuals in coordination with the New England Innocence Project. She has also represented 501(c)(3) organizations in connection with various corporate governance matters.
