Sooryun Youn focuses on the Uniform Commercial Code and secured transactions. This area addresses personal property law, with a special emphasis on those issues arising under Article 8 (investment securities) and Article 9 (secured transactions) of the Uniform Commercial Code.

Bio

Ms. Youn has advised clients on commercial law and personal property transfer issues in connection with acquisition financings, syndicated senior credit facilities, subordinated secured credit facilities, infrastructure and project financings, secured note offerings, bank­ruptcy and nonbankruptcy restructurings, real estate transactions, foreclosure matters and asset sales. Ms. Youn represents corporations, private equity funds and financial institution investors as borrowers and issuers, as well as investment banks, commercial banks and other financial institutions as lenders, agents and underwriters.

Ms. Youn’s practice extends across a wide range of industries, with recent notable experiences including representation of:

  • Blue Owl and its portfolio company STACK Infrastructure in numerous financings, including:
    • a $18 billion financing to support the construction and fit-out of a purpose-built data center mega campus in Doña Ana County, New Mexico
    • a $325 million financing to support the construction and fit-out of a purpose-built data center in Phoenix, Arizona
    • a $3.7 billion financing to design, engineer, construct and complete six data centers located in Stafford County, Virginia
  • FTAI Aviation in its portfolio company Long Ridge Energy’s $1 billion refinancing, consisting of a $400 million senior secured term loan B facility and a $600 million Rule 144A/Regulation S high-yield offering of 8.750% senior secured notes due 2032
  • Brightline in numerous financings for both the Florida railway and the construction of the proposed railway between Southern California and Las Vegas
  • New Fortress Energy in its restructuring and various financings
  • Brookfield Corporation in numerous renewables and infrastructure financings
  • Terraform Power in numerous infrastructure financings, including issuance of $113 million in secured notes in connection with the TERP DG restructuring
  • Pattern Energy in numerous financings, including a $11 billion construction loan to finance two wind farms and a transmission line in Arizona and New Mexico and conversion to a $550 million term loan facility
  • Cypress Creek Renewables in:
    • its acquisition bridge financing to acquire the Steel River Energy Center and $3.5 billion construction term loan and mezzanine financings for the two phases of the project
    • a corporate-level letter of credit and working capital facility for CCR
    • a $35 million term loan facility with respect to a portfolio of operating solar projects
  • various clients in connection with bitcoin-backed financings, including:
    • a $300 million secured loan facility for Bitfarms secured by bitcoin
    • a $585 million convertible note issuance for Tether secured by bitcoin
  • various clients in bankruptcy and out-of-court restructurings, including:
    • Endo Pharmaceuticals in its highly complex multinational Chapter 11 case involving over $8 billion of debt and subsequent $2.9 billion exit financing
    • Leucadia National Corporation and Jefferies LLC as lenders/ investors in an emergency $300 million capital infusion to FXCM Inc.
