Skadden is representing NTT Communications Corporation (NTT Com) of Japan in connection with the business combination agreement and launch of a voluntary public takeover offer for all outstanding shares of Integralis AG, which was announced June 30. Based on the number of shares outstanding, the offer would represent an equity value for Integralis AG of approximately Euro 75 million. NTT Com is the wholly owned subsidiary of Nippon Telegraph and Telephone Corporation and Integralis AG is an international provider of IT security services.
