Skadden is advising Chiquita Brands International Inc. in its $1.3 billion merger agreement with the Cutrale-Safra group. Under the agreement, announced October 27, Cutrale-Safra will acquire all outstanding common shares of Chiquita for $14.50 per share in cash and assume all outstanding debt.
