Skadden is advising AI-native software platform Brex, including certain shareholders and executives, in connection with Capital One Financial Corporation’s definitive agreement to acquire Brex in a combination of stock and cash transaction valued at $5.15 billion.
The transaction is expected to close in the middle of 2026, subject to the satisfaction of customary closing conditions.
