NTT Finance Completes Notes Offerings

Skadden advised NTT Finance Corporation, the financing subsidiary of the NTT Group, on its concurrent U.S. dollar-, euro- and sterling-denominated notes offerings totaling approximately $10.4 billion. This is the largest global bond sale by an Asia-based company in 2026 to date, according to data compiled by Bloomberg. The U.S. dollar-denominated notes were issued in seven tranches:

  • $1 billion of 4.741% senior notes due 2028.
  • $750 million of 4.828% senior notes due 2029.
  • $750 million of 5.012% senior notes due 2031.
  • $1 billion of 5.259% senior notes due 2033.
  • $750 million of 5.483% senior notes due 2036.
  • $500 million senior floating rate notes due 2029.
  • $750 million senior floating rate notes due 2031.

The euro-denominated notes were issued in five tranches:

  • €750 million senior floating rate notes due 2028.
  • €750 million of 3.325% senior notes due 2029.
  • €750 million of 3.559% senior notes due 2031.
  • €750 million of 3.847% senior notes due 2034.
  • €850 million of 4.233% senior notes due 2038.

The sterling-denominated notes consisted of £400 million of 4.852% senior notes due 2029. The notes were listed on the Singapore Stock Exchange.
