Bio

Mr. Kiyota has extensive experience working on both equity and debt offerings involving Japanese corporations, financial institutions and sovereign entities. He also has significant experience working on mergers and acquisitions and general securities law matters for Japanese corporations.

Mr. Kiyota’s experience in capital markets matters (including his prior law firm experience) includes:
  • a $500 million senior notes offering by Takeda Pharmaceutical Company Limited;
  • the ¥41.6 billion global IPO of LIXIL VIVA CORPORATION;
  • a $800 million overseas hybrid debt offering by Nippon Life Insurance Company;
  • a $1.34 billion overseas hybrid debt offering by Sumitomo Life Insurance Company;
  • a ¥44.0 billion global equity offering by Daiwa House REIT Corporation;
  • a ¥39.2 billion global equity offering by Invincible Investment Corporation;
  • multiple SEC-registered bond offerings of Japan Bank for International Cooperation (guaranteed by the Japanese government);
  • SEC-registered bond offerings by Japan International Cooperation Agency (guaranteed by the Japanese government) in 2016 and 2017;
  • the ¥1.44 trillion privatization and concurrent global IPOs by Japan Post Holdings Co., Ltd., Japan Post Bank Co., Ltd. and Japan Post Insurance Co., Ltd.;
  • a ¥166 billion global equity offering by Rakuten, Inc.;
  • the ¥66.8 billion global IPO and ¥70.8 billion global equity offering of Skylark Co., Ltd.;
  • several securities offerings by The Dai-ichi Life Insurance Company, Limited, including a ¥241 billion global equity offering and two overseas hybrid note offerings;
  • several SEC-registered note offerings by Nomura Holdings, Inc.;
  • the ¥319 billion global IPO by Japan Display Inc.;
  • the ¥100 billion global IPO and four follow-on global equity offerings by Nippon Prologis REIT, Inc.;
  • four global equity offerings by Industrial & Infrastructure Fund Investment Corporation;
  • the ¥368 billion global IPO by Suntory Beverage & Food Limited; and
  • the ¥663 billion global IPO by Japan Airlines Co., Ltd.

Mr. Kiyota’s experience on mergers and acquisitions matters (including at a prior law firm) includes: the acquisition by Panasonic Corporation of the outstanding minority interest in Panasonic Information Systems Co., Ltd. and the outstanding minority interests in SANYO Electric Co., Ltd. and Panasonic Electric Works Co., Ltd.; the acquisition by Sumitomo Metal Mining Co., Ltd. of an additional interest in a copper mine in the United States; and the acquisition by Nippon Steel Corporation (currently Nippon Steel & Sumitomo Metal Corporation) of an additional interest in a joint venture in Brazil.

Mr. Kiyota joined the Corporate Group of Skadden in 2016. Prior to joining Skadden, he worked in the Tokyo office of a leading international law firm. He received the Rising Star — Equity award at the 2015 IFLR Asia Awards.
