Ken Kiyota focuses on capital markets transactions, mergers and acquisitions and general corporate matters.

Bio

Mr. Kiyota has extensive experience working on both equity and debt offerings involving Japanese corporations, financial institutions and sovereign entities. He also has significant experience working on mergers and acquisitions and general securities law matters for Japanese corporations. Mr. Kiyota is not admitted in Japan.

Mr. Kiyota was a member of the Skadden team involved in the following transactions:

  • the $8 billion and €2 billion senior notes offering by NTT Finance Corporation;
  • the ¥167.6 billion global equity offering by Japan Airlines Co., Ltd.;
  • the ¥22.9 billion global IPO on the Tokyo Stock Exchange of PLAID Inc.;
  • the ¥120.7 billion global equity offering by Nippon Building Fund Inc.;
  • the ¥46.3 billion global equity offering by LaSalle LOGIPORT REIT;
  • the ¥40.5 billion global equity offering by Open House Co., Ltd.;

  • the ¥359.5 billion global common equity offering by Recruit Holdings Co., Ltd., which was named Equity Deal of the Year for 2019 at the 2020 ALB Japan Law Awards;
  • the ¥130.7 billion global IPO by Mercari Inc., which was named one of Asian-MENA Counsel magazine’s Deals of the Year for 2018;
  • the ¥21.9 billion global IPO of ARTERIA Networks Corporation;
  • the ¥48.4 billion global IPO of WORLD Co., Ltd.;

  • the $1 billion overseas hybrid debt offering by Meiji Yasuda Life Insurance Company;

  • the ¥41.6 billion global IPO of LIXIL VIVA CORPORATION;
  • multiple overseas hybrid debt offerings by Nippon Life Insurance Company;
  • a $1.34 billion overseas hybrid debt offering by Sumitomo Life Insurance Company;
  • the ¥44 billion, ¥56.8 billion, ¥36.3 billion and ¥34.3 billion global equity offerings by Daiwa House REIT Investment Corporation;
  • the ¥39.2 billion, ¥41.6 billion and ¥24.1 billion global equity offerings by Invincible Investment Corporation; 
  • multiple SEC-registered bond offerings of Japan Bank for International Cooperation (guaranteed by the Japanese government); and
  • SEC-registered bond offerings by Japan International Cooperation Agency (guaranteed by the Japanese government) in 2016 and 2017.

Mr. Kiyota joined the Corporate Group of Skadden in 2016. Prior to joining Skadden, he worked in the Tokyo office of a leading international law firm.
