Skadden is advising the Audit Committee of Viper Energy, Inc. in subsidiary Viper Energy Partners LP’s acquisition of certain mineral and royalty interests, representing approximately 933 net royalty acres, from Diamondback Energy, Inc. and related subsidiaries.
The acquisition is in exchange for approximately 3.7 million units in Viper Energy, Inc.’s operating subsidiary, VNOM Holding Company LLC, along with an accompanying equal amount of Class B common stock of Viper Energy, Inc.
Viper Energy, Inc. is a corporation formed by Diamondback Energy, Inc. to own, acquire and exploit oil and natural gas properties in North America, with a focus on owning and acquiring mineral and royalty interests in oil-weighted basins, primarily the Permian Basin.
