Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in Washington, D.C. to work in the firm’s Energy and Infrastructure group.   Requires a Juris Doctor degree or equivalent and two (2) years of experience representing clients in connection with debt financings in the energy or infrastructure sector; conducting legal research utilizing the Securities and Exchange Commission’s EDGAR platform, internal banking law practice group resources or other external resources on issues arising in connection with the acquisition, development or financing of energy and infrastructure projects; conducting due diligence on financing, merger and acquisition or project documents including purchase and sale agreements, tax equity documents, construction contracts, operations and maintenance contracts, supply or offtake agreements in connection with debt financings in the energy or infrastructure sector; coordinating with internal teams for timely delivery of good standing certificates and other State-certified closing deliverables, including charter documents; drafting debt financing documents, utilizing precedent financing documents and template provisions including the Loan Syndications and Trading Association (LSTA) templates or Practical Law database template provisions; conducting due diligence in connection with the U.S. Federal Government’s Transportation Infrastructure Finance and Innovation Act (TIFIA) loan program; and maintaining and updating checklists for financings involving clients and/or affiliates thereof. Must be admitted to practice law in the District of Columbia. Telecommuting and/or working from home may be permissible pursuant to company policies.
