Collin Janus advises financial institutions, including bank holding companies, foreign banking organizations, national and state banks, thrifts and other financial entities and investors, on financial regulatory and transactional matters such as acquisitions, investments, compliance and other significant representations.

Bio

Mr. Janus represents clients before the Federal Reserve, Office of the Comptroller of the Currency, Federal Deposit Insurance Corporation and other federal and state banking agencies. In recognition of his work, Mr. Janus was named one of Best Lawyers’ 2024 Ones To Watch in America.

After starting his legal career as a Skadden associate, Mr. Janus worked in senior positions at U.S.-based regional banking organizations before returning to the firm. Prior to attending law school, he was a certified public accountant and auditor at a large international accounting firm. Mr. Janus’ representations include:

  • Banc of California in its combination with PacWest Bancorp and simultaneous capital raise from Warburg Pincus and Centerbridge Partners, as well as the conversion of the resulting institution to a state member bank
  • Flagstar Bank in its merger with New York Community Bank
  • Sumitomo Mitsui Banking Corporation in numerous matters, including its (i) investment in The Bank of East Asia, Ltd., (ii) investment in Ares Management Corporation and (iii) strategic partnership and minority investment in Jefferies Financial Group
  • LendingClub Corporation in regulatory matters in connection with its acquisition of a national bank and transition to become a bank holding company
  • OceanFirst Financial Corporation in its separate acquisitions of multiple publicly traded and privately held community bank and thrift organizations
  • Veritex Holdings in its minority investment in Thrive Mortgage and pending sale of Thrive to Lower
  • Citigroup in numerous matters, including divestitures of significant U.S. and non-U.S. businesses and minority investments
  • Viking Global Investors, as special counsel, in its controlling investment in Rockefeller Capital Management, a wealth management firm operating a national trust bank
  • Zip Co Limited in its $400 million acquisition of QuadPay Inc., which provides technology-enabled buy-now-pay-later services
  • a European online bank in regulatory matters related to its entry into the U.S.
  • a bank undertaking a new strategy in addressing supervisory and enforcement matters related to governance, internal controls and compliance
  • a large non-U.S. bank in the approval and licensing of new offices in the U.S.
  • a global bank holding company in complying with the activity and investment limitations of the Bank Holding Company Act of 1956
