Karina Cardozo De Oliveira

Karina Cardozo de Oliveira advises Brazilian, Latin American and U.S. clients on a wide range of corporate transactions, including public and private offerings of equity and debt securities and liability management. Ms. Cardozo regularly represents issuers, underwriters and selling shareholders and has broad experience counseling clients in a range of industries, including banking, retail, mining and natural resources. She also has experience advising clients on corporate structural matters and in relation to corporate and securities compliance matters. In addition, Ms. Cardozo has assisted entities with internal investigations involving the U.S. Foreign Corrupt Practices Act. Prior to joining Skadden, Ms. Cardozo practiced for several years as a corporate associate at a Brazilian law firm.

Mergers and Acquisitions

• Semantix in its merger with Alpha Capital, being the first tech de-SPAC transaction in Brazil. As a result of the merger, Se-mantix became a Nasdaq-listed publicly traded company

• tender offers, exchange offers, consent solicitations and other liability management exercises, including of Rede D’ Or, Hidrovias, Ultrapar, Usiminas and Cielo
